1. Definitions
"Customer" means the company or person that agrees to these terms and contracts for the Service. "Users" are people the Customer allows to use the Service. "Customer Content" means information you enter or upload and the articles, images and other output you create or edit with the Service.
2. Registration and accounts
The contract is formed when we accept your registration. We may refuse registration if information is false or we otherwise consider it inappropriate.
You are responsible for keeping your users' credentials secure and must not let third parties use them. Actions taken through your accounts are treated as your actions.
3. Fees and payment
You pay the fees shown on the pricing page or in your quote, in advance for each billing period, by the method we specify (such as credit card via Stripe).
Where we agree to invoice billing, invoices close at month end and you pay by bank transfer to our designated account by the end of the following month. Transfer fees are yours.
Plans may include limits, such as the number of articles you can generate. Usage over a limit may incur extra fees or be restricted.
We may change fees with 30 days' notice. New fees apply from your next renewal date after the notice.
4. Term and automatic renewal
Monthly plans run for one month and annual plans for one year. Each renews automatically on the same terms unless you cancel.
The renewal date is the same day of the month as the start date; in months without that day, it is the last day of the month.
5. Cancellation and refunds
You may cancel at any time; cancellation takes effect at the end of the current period. Fees paid are non-refundable except for billing errors or periods we failed to provide the Service through our fault. Details are in the Cancellation & Refund Policy.
6. Customer Content
Rights in Customer Content belong to you or the rightful owner. We use Customer Content only as needed to provide, maintain and troubleshoot the Service.
To the extent any rights arise in law in articles, images or other output generated with the Service, they belong to you and we claim none. You may use output freely, including commercially, within the law.
We do not use Customer Content to train AI models.
All intellectual property in the Service itself, including its software, screens, prompts, templates and documentation, belongs to us or the rightful owners. You receive only a right to use the Service as needed during the contract.
7. AI-generated output
The Service uses external AI services such as Anthropic's Claude and Google Vertex AI (Gemini, Imagen) to generate text and images. Output may contain inaccuracies, material that could infringe others' rights, or inappropriate wording.
You must review output before publishing or using it, and you use it at your own judgment and responsibility. We do not warrant that output is accurate, complete, fit for a purpose or non-infringing.
8. Connected services
Third-party services you connect, such as WordPress or Google Search Console, are governed by their own terms. We are not responsible for losses caused by outages or changes in those services.
9. Prohibited conduct
You and your users must not:
- (1) break the law or public order;
- (2) infringe copyright, trademarks, privacy or other rights;
- (3) create misleading ads, spam, or mass content that seriously violates search engine guidelines;
- (4) overload our systems, gain unauthorized access or reverse-engineer the Service;
- (5) resell or sublicense the Service without our written consent; or
- (6) do anything else we reasonably consider inappropriate.
10. Your responsibility
If a third party or authority brings a claim, lawsuit, administrative action or other complaint against us arising from Customer Content (including publishing or using output) or from a breach of these terms or the law by you or your users, you will resolve it at your own cost and responsibility.
In that case you will compensate us for our resulting losses, including damages, settlements, fines and reasonable legal fees.
11. Changes and interruptions
We may change the Service or suspend it temporarily for maintenance, incidents, third-party outages or other unavoidable reasons. We give advance notice of major changes and planned downtime where we can.
12. Suspension and termination
If you breach these terms, fail to pay, or we otherwise consider it necessary, we may suspend the Service or terminate the contract without prior notice.
13. Disclaimer and limitation of liability
We do not warrant that the Service is free of defects or that using it will achieve any particular search ranking or result.
We are not responsible if your site's rankings or traffic fall because of search engine algorithm or guideline changes, manual actions or other penalties.
If we are liable to you, liability is limited to ordinary, direct damages, capped at the total fees you paid us in the 12 months before the damage occurred. This cap does not apply where we acted intentionally or with gross negligence.
14. Force majeure
We are not liable for delay or failure to provide the Service caused by events beyond our reasonable control, including natural disasters, fire, epidemics, war or terrorism, changes in law, failures of telecommunication lines (including submarine cables), and outages at the cloud, AI, payment or other providers we rely on.
15. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for the Service, unless the other party agrees otherwise.
16. Personal information
We handle personal information under our Privacy Policy.
17. Anti-social forces
You represent that you are not, and have no ties to, organized crime or other anti-social forces. If this is untrue, we may terminate immediately.
18. Changes to these terms
We may amend these terms under Article 548-4 of the Civil Code. We will announce the changes and their effective date on the Service or our website a reasonable time in advance.
19. No assignment
You may not assign your position or rights under the contract without our written consent.
20. Governing law and jurisdiction
These terms are governed by Japanese law. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute about the Service.
